Ms. Ana Marta Horta Veloso holds a degree in Economics from UFMG-Universidade Federal de Minas Gerais and a master's degree in Economics from UFRJ-Universidade Federal do Rio de Janeiro. She is an independent member of the Board of Directors of Vinci Compass since January 2021 and Chairman of the Audit Committee. She has extensive experience both in the financial and electricity sectors, having been the chief executive officer and investor relations officer of Light S.A. between 2015 and 2017 and again from 2019 to October 2020. She also held the position of officer of Equatorial Energia between 2008 and 2015 and represented Equatorial in the board of directors of its invested companies, such as Cemar, Celpa and Gera Maranhão. In 2018, she served as a consultant for GP Investments and for Credit Suisse Energy Infrastructure Partners. Additionally, she was a board member and a member of the Audit Committee and Compensation Committee at Enel/Eletropaulo from 2018 to 2019, a board member and a member of several committees at Light from 2006 to 2010, a board member at Light from 2015 to 2017 and at Equatorial Energia from 2006 to 2008. She also was a representative of BNDES on the boards of directors of Acesita, Klabin, Vale, Valepar, and Globo Cabo (Net/Claro). She worked at BNDES between 1992 and 2005 and at Banco Pactual between 2000 and 2001, when she was on leave from BNDES, and later in Pactual again, between 2006 and 2008.

He has been a independent member of the Board of Directors of Vinci Compass since January 2021 and President of the Innovation Committee. He is responsible for carrying out successful projects in digital banking (Banco Original); startup investments (Domo Invest), mobile and e-commerce (Buscapé), internet platforms (Microsoft), and advertising (Te Respondo). Currently, he is member of the boards of directors of TOTVS, Banco Original and Grupo SOMA. He is also the co-founder of Squadra Ventures and founder of Hack the Future. He is a frequent presenter on market trends and innovation, and has spoken at more than 120 events in Brazil, Latin America, Canada, the United States, Denmark, and the United Kingdom. He holds a degree in Business Administration from Fundacão Armando Alvares Penteado - FAAP (1997) and also presents lectures on innovation at INSPER MBA in São Paulo, Brazil.
Mr. Jaime de la Barra is one of the founding partners of Compass Group. Between 2010 and 2024, he served as Executive Vice Chairman of Compass Group Holdings and Chief Investment Strategist for the firm. Prior to founding the company, from 1992 to 1996, he created and was the Head of Investment Research for Grupo Santander in Chile, and previously, from 1985 to 1989, he was part of the Investment Banking team at Citicorp in Chile. Mr. Jaime de la Barra was a member of the Capital Markets Advisory Council of the Chilean Ministry of Finance between 2006 and 2021. He was board member of Icare and Chairman of its Economics and Finance Circle from 2015 to 2023. Additionally, he is a member of the Advisory Board of Endeavor-Chile. He was a lecturer in Capital Markets and Financial Institutions at Universidad de Los Andes and is currently a member of the Executive Board for Latin America of The Wharton School of the University of Pennsylvania. He is also a founding partner and former Chairman of InBest, and one of the founders and former Chairman of the Chilean Investment Fund Managers Association. He holds a Bachelor of Science degree in Business Administration from Pontificia Universidad Católica de Chile and an MBA (Palmer Scholar) from the Wharton School of the University of Pennsylvania.
Lywal Salles is a member of the Board of Directors at Vinci Compass, a Director at ANBIMA, and a member of the Board of Uniasselvi. From 2010 to 2013, he served as Chairman and CEO of UBS AG Group in Brazil. Prior to that, he was Senior Executive Director at Itaú Unibanco S.A., where he led Itaú Private Bank globally and the Investment Products Committee within the Capital Markets division. He also served as Chairman of the Board of Itaú International Bank and Itaú Securities in the U.S., as well as the first CEO of Banco Itaú (Suisse) in Zurich. Before his time at Itaú Unibanco, Lywal held several leadership positions at Citibank N.A., including CEO for Latin America in the Affluent Clients segment and the first President of Redecard. Earlier in his career, he spent 15 years at The Chase Manhattan Bank, with assignments in Hong Kong, the United States, and Latin America. He holds a degree in Economics and a postgraduate degree in Economic Engineering from UFRJ, as well as an M.S. in Management from Syracuse University in New York.
Mr. Manuel J. Balbontin is one of the founding partners of Compass Group. Until 2024, he served as Executive Chairman of Compass Group Holdings and a member of the Executive Committee and Senior Investment Strategist of Compass Group. Prior to founding the firm, from 1993 to 1995, he was a Managing Director and Founder of New World Investments Group of Santander Bank in New York. From 1989 to 1993, he was a Director of Capital Markets and Co-Director of Sales and Trading of Citicorp Emerging Markets Group (ICFD) in New York, London and Tokyo. Mr. Manuel J. Balbontin started his career in 1984 in the Investment Banking team of Citicorp in Chile. Mr. Manuel J. Balbontin has served in several boards of for-profits and non-for-profit organizations in the United States, Europe and Latin America. He holds a Bachelor of Science degree in Business Administration from Pontificia Universidad Católica de Chile and an MBA from Harvard Business School.

Mr. Ogilvie is a Partner and Head of the Ares Corporate Strategy Group. Additionally, he serves as the Executive Vice President for Ares Acquisition Corporation II, a special purpose acquisition company sponsored by Ares. Mr. Ogilvie co-founded the Corporate Strategy Group to drive growth and development across the Ares platform through acquisitions, balance sheet investments, partnerships and new team onboarding. He has led the Corporate Strategy Group's efforts on numerous transactions including the acquisition of Landmark Partners, the acquisition of American Capital, Ltd. by Ares Capital Corporation, the business development company managed by Ares, the issuance of Ares first Private Backed Note and the formation of Ares' business partnership with Sumitomo Mitsui Banking Corporation. Mr. Ogilvie is a board member for LightPoint Financial Technology and Ares Australia Management. Prior to joining Ares in 2007, Mr. Ogilvie worked in the Leveraged Finance and Restructuring Group at Credit Suisse. Mr. Ogilvie holds a B.A. from Yale University in Economics.
Mr. Rogério Ladeira Furquim Werneck holds a PhD in Economics from Harvard and is a PUC-Rio professor. He has served as an independent member of our board of directors since 2017. After earning a BA in Economics from Universidade Federal de Minas Gerais, he went to graduate school at Fundação Getulio Vargas, in Rio, where he later taught from 1975 to 1977. He has been, since 1977, one of the key faculty members of PUC-Rio's prestigious Department of Economics, having served as Director of the Department for three long terms: 1980-85, 2002-09 and, more recently, 2016-21. He is a biweekly columnist for two of the most important Brazilian newspapers, O Estado de São Paulo and O Globo.
Ms. Consiglio is a well acknowledged ESG and corporate communications expert in the financial services industry, having been recognized in 2016 by the United Nations Global Compact as a Sustainable Development Goals (SDG) pioneer, among only ten people in the world. She has been an independent member of the Board of Directors and Chairman of the ESG Committee at Vinci Compass since August 2021. She is the current president of the Brazilian Board for the Global Reporting Initiative, having served previously as a Director at the Brazilian stock exchange (B3), assuming the role of president of the Deliberative Council of the Corporate Sustainability Index (ISE). She was president of Rede Brasil for UN Global Compact and director of HR and internal communications and superintendent for BankBoston, superintendent of sustainability and institutional communications at Banco Itaú, and director of social responsibility at Febraban.
